Terms of service — Efficient Brewing Ltd

Welcome to Efficient Brewing, an online production schedule optimisation service designed for breweries. These Terms of Service explain our obligations as a service provider and Your obligations as a customer. Please read them carefully.

These Terms are binding on any use of the Service and apply from the time Efficient Brewing Ltd provides You with access to the Service.

Efficient Brewing may update these Terms at any time by posting the amended version on the Website. Efficient Brewing will make reasonable efforts to notify You of material changes, including by email or in-app notice. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

By registering for or using the Service, You acknowledge that You have read and understood these Terms and have the authority to act on behalf of any person or entity for whom You use the Service.

1. Definitions

“Agreement” means these Terms of Service.

“Access Fee” means the subscription fee (excluding taxes) payable by You, as set out in the Fee Schedule, once the Service moves out of the beta trial phase.

“Beta Period” means the initial phase during which the Service is provided free of charge as a trial.

“Confidential Information” means all information exchanged between the parties, whether in writing, electronically, or orally, including the Service, but excluding information that is publicly available without breach of this Agreement.

“Data” means any data inputted by You or with Your authority into the Service, including brewery equipment details, production batches, beer types, user information, and external API connection details.

“Fee Schedule” means the pricing information made available on the Website once paid subscriptions commence.

“Intellectual Property Rights” include patents, trademarks, copyrights, design rights, trade secrets, and all other proprietary rights.

“Service” means the online production scheduling and optimisation tools made available by Efficient Brewing via the Website.

“Website” means efficientbrewing.co.uk or any other site operated by Efficient Brewing Ltd.

“Efficient Brewing” means Efficient Brewing Ltd, company number 16318560, registered at 47 Rosebery Road, Exeter, England, EX4 6LT, and any future subsidiaries.

“Invited User” means any person authorised by the Subscriber to use the Service.

“Subscriber” means the person or entity who registers to use the Service.

“You” or “Customer” means the Subscriber, and where applicable, any Invited User.

2. Use of the Software

Efficient Brewing grants You a non-exclusive, non-transferable right to access and use the Service, subject to this Agreement.

The Subscriber:

  • determines who may be an Invited User and what level of access they have;
  • is responsible for all Invited Users’ use of the Service;
  • may revoke or modify Invited Users’ access at any time; and
  • resolves any disputes relating to Invited User access.

3. Your Obligations

3.1 Beta Trial and Transition to Paid Access

  • The Service is initially provided free of charge during the Beta Period.
  • Efficient Brewing may end the Beta Period at any time but will provide 30 days’ notice before requiring a paid subscription.
  • Continued use of the Service after the Beta Period requires payment of the Access Fee.
  • If You do not wish to continue after the Beta Period, You must stop using the Service and close Your account before the paid period begins.

3.2 Payment (when applicable)

Once subscriptions begin:

  • Access Fees will be billed in accordance with the Fee Schedule.
  • Invoices will be sent by email to You or Your nominated billing contact.
  • You are responsible for all taxes and duties associated with Your subscription.

3.3 General Obligations

You must use the Service and Website only for lawful internal business purposes and in compliance with these Terms.

If You use the Service on behalf of others, You warrant that You are authorised to do so and ensure that all relevant parties comply with these Terms.

3.4 Duty, Tax, and Regulatory Disclaimer

Efficient Brewing provides production scheduling and optimisation only.
The Service does not calculate duty, excise tax, VAT, or other statutory obligations.

You are solely responsible for:

  • ensuring accuracy of records used for tax or duty purposes;
  • complying with all applicable regulations;
  • verifying that any outputs from the Service are suitable for Your legal obligations.

Efficient Brewing is not liable for any penalties or losses arising from Your regulatory or tax responsibilities.

3.5 Access Conditions

You must:

  • keep usernames and passwords secure;
  • notify Efficient Brewing immediately of any unauthorised access;
  • avoid attempting to undermine the security or integrity of the system;
  • not use the Service in any way that may impair its functionality or other users’ access;
  • only access materials You have permission to access;
  • refrain from reverse engineering or attempting to copy the Service.

3.6 Communication Conditions

If You use communication tools provided within the Service (if any), You must:

  • use them only for lawful and legitimate purposes;
  • not post offensive or harmful content;
  • not distribute unsolicited commercial material.

Efficient Brewing may remove any communication at its discretion.

3.7 Indemnity

You indemnify Efficient Brewing against any claims, losses, or costs arising from:

  • Your breach of these Terms,
  • Your misuse of the Service, or
  • any third-party claim resulting from Your use of the Service.

4. Confidentiality and Privacy

4.1 Confidentiality

Each party must preserve the confidentiality of the other’s Confidential Information unless:

  • required by law,
  • authorised in writing, or
  • the information is already public through no breach.

These obligations survive termination.

4.2 Privacy

Efficient Brewing maintains a separate Privacy Policy that forms part of these Terms.
By using the Service, You accept that policy.

Your Data may include personal information of users, employees, suppliers, or customers. You represent that You have the right to input such data into the Service.

5. Intellectual Property

5.1 Ownership

All Intellectual Property Rights in the Service, Website, software, and documentation remain the property of Efficient Brewing or its licensors.

5.2 Your Data

You retain ownership of all Data You enter.
Efficient Brewing may use, copy, store, transmit, and back up Data solely for:

  • providing the Service,
  • maintaining and improving the Service, and
  • ensuring platform security.

5.3 Backup

You must maintain copies of Your own Data. While Efficient Brewing follows good practice to prevent loss, no guarantees are given.

5.4 External Integrations

If You enable external API connections:

  • You acknowledge that third-party providers may access Your Data as necessary for integration.
  • Efficient Brewing is not responsible for any Data loss, disclosure, or modification resulting from such integrations.

6. Warranties and Acknowledgements

You warrant that:

  • You have the legal authority to enter this Agreement;
  • You are responsible for ensuring the Service meets Your business needs.

You acknowledge that:

  • The Service is provided “as is”;
  • Efficient Brewing does not guarantee uninterrupted or error-free performance;
  • You remain solely responsible for compliance with all legal, tax, duty, and regulatory requirements;
  • Efficient Brewing is not Your accountant, tax adviser, or compliance adviser.

All implied warranties are excluded to the maximum extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Efficient Brewing is not liable for any loss of Data, profit, revenue, or business arising from Your use of the Service.
  • Any liability arising from negligence or breach of these Terms is limited to the Access Fees paid in the preceding 12 months (or £0 during the Beta Period).
  • Your sole remedy for dissatisfaction with the Service is to cease using it and terminate this Agreement.

8. Termination

8.1 Beta Trial Policy

During the Beta Period, You may stop using the Service at any time.
Efficient Brewing may end the Beta Period with 30 days’ notice.

8.2 Prepaid Subscriptions

Once paid subscriptions begin, fees for prepaid periods are non-refundable.

8.3 No-Fault Termination

After paid subscriptions begin:

  • The Agreement renews automatically for each billing period.
  • You may cancel at any time using the account settings page.
  • Efficient Brewing may terminate the Agreement with 30 days’ notice.

8.4 Breach

Efficient Brewing may suspend or terminate access immediately if You:

  • fail to remedy a breach within 14 days,
  • commit a non-remediable breach, or
  • become insolvent.

8.5 Post-Termination

Upon termination:

  • You must cease using the Service immediately;
  • Accrued obligations remain payable;
  • Relevant clauses survive termination.

10. General

  • Entire Agreement – These Terms and the Privacy Policy constitute the full agreement.
  • Waiver – Waivers must be in writing.
  • Delays – Neither party is liable for delays outside their control.
  • No Assignment – You may not assign rights without written consent.
  • Governing Law – This Agreement is governed by the laws of England and Wales, with exclusive jurisdiction of its courts.
  • Severability – Invalid provisions will be replaced with enforceable ones that best reflect the original intent.
  • Notices – Notices to Efficient Brewing must be sent to help@efficientbrewing.co.uk.
